Corporate housekeeping & compliance

We ensure the continuity of your business by handling its annual governance, from organising general meetings to approving the accounts and optimising the allocation of profits. Beyond this recurring work, we manage your structural changes, whether complex amendments to the articles of association, changes of legal form or adjustments to your management arrangements. For entrepreneurs, our incorporation support secures the path from idea to registration by designing the legal structure best aligned with your ambitions.

Contract engineering & shareholders’ agreements

A solid partnership rests on a rigorous contractual framework. We draft tailored shareholders’ agreements, true “constitutions” that organise governance, exit terms and the balance of power so as to prevent any future deadlock. This personalised approach extends to drafting your articles of association, where we set precise, agile operating rules that can evolve with your growth.

Managing intra-group relations

For multi-entity structures, we optimise overall consistency through a contractual organisation of synergies. We secure your financial and tax flows by drafting cash pooling and management fee agreements, ensuring smooth intra-group exchanges. Finally, dedicated group agreements provide an effective framework for the services and resources shared between your subsidiaries.

Frequently asked questions

Your questions, our answers.

I want to start my business: why should I use Auriom rather than an online platform?

While platforms automate the administrative side, they offer no strategic advice. At Auriom, we do more than file your articles of association. We analyse the consistency of your business plan, optimise your social security status as a director and choose the most advantageous tax regime for your personal situation. A poor choice at the outset can cost far more than professional support.

SAS, SARL, EURL or micro-enterprise: which legal structure should I choose?

There is no universal “best” legal form, only one suited to your profile. The choice depends on four fundamental criteria that we analyse at Auriom:

  • The number of partners : On your own (SASU, EURL, EI) or with others (SAS, SARL)?
  • Protection of your personal assets : Do you want to limit your financial liability to the amount of your contributions?
  • The director’s social security regime : Do you want to be an “assimilated employee” (better protected) or “self-employed” (lower contributions)?
  • Taxation : Income tax (IR) or corporation tax (IS)?
Why convert my SCP into an SEL and what are the tax advantages?

Converting an SCP into an SEL (professional practice company, notably an SELARL or SELAS) is often a major turning point for the liberal professions. Unlike the SCP, where partners are personally taxed on all profits (IR), the SEL allows you to benefit from corporation tax (IS).

The advantages are many:

  • Control over taxation : You only pay personal tax on what you actually pay yourself. The rest of the profit is taxed at corporation tax (reduced rate of 15% up to €42,500), which makes self-financing easier.
  • Optimising social security charges : In an SEL, you can choose between remuneration and dividends to optimise your disposable net income.
  • Easier succession : The SEL makes it easier to bring in new partners or to prepare for retirement via a holding company (SPFPL).
Why set up a holding company to manage my various companies?

A holding company is not just for large groups; it is a powerful optimisation tool for any entrepreneur who owns (or wants to acquire) several businesses. It allows you to:

  • Centralise cash : Under the parent-subsidiary regime, you pass dividends from your subsidiaries up to the holding company with a 95% tax exemption.
  • Reinvest without a heavy tax burden : Money accumulated in the holding company can be reinvested in new projects or in real estate, without being subject to personal income tax.
  • Optimise overall taxation : With tax consolidation, you can offset one subsidiary’s losses against another’s profits to reduce the group’s total tax.
